Terms of Service

Welcome to UnderPin IT. These Terms of Service ("Terms") govern your access to and use of our website, underpin-it.co.uk, and any fixed-fee or advisory services we provide. UnderPin IT is a trading name of Strategic Development and Consulting Ltd ("we", "us", or "our"), Company Number: 15894213. By booking a product, requesting an engagement, or using our website, you agree to be bound by these Terms.
1. Services & Scope
We provide productised technology audits, strategy consultations, and fractional leadership advice. Each engagement has a fixed scope, deliverables, and fees as outlined on our website or within a formal statement of work. Any additional services requested outside the agreed scope will require a new statement of work or written change agreement before commencement.
2. Fees & Payment Terms
All pricing listed on our website is in GBP (£) and is subject to VAT. For productised one-off audits (such as The Hack Check, IT Bill Review, Cyber Health Score, and Technology Baseline Audit), fees are billed upon booking or completion of the structured session and must be paid in full according to the payment schedule. Monthly fractional retainers are billed in advance on a monthly cycle and are payable within 7 days of invoice date.
3. Client Cooperation
To deliver our services effectively within the promised timelines, you agree to provide timely access to information, documentation (such as IT invoices or statements for IT Bill Review), or key contacts (such as your internal IT lead or Managed Service Provider). We are not responsible for delays caused by client inaction or failure to provide necessary details.
4. Intellectual Property
We retain all rights, title, and interest in our proprietary audit methodologies, report templates, checklists, and software tools. Upon full payment of the applicable fees, we grant you a non-exclusive, non-transferable, perpetual licence to use and share the final deliverables (such as your single-page audit scorecard or action plans) internally within your business.
5. Confidentiality
We take your business security and data confidentiality seriously. All client data, invoices, infrastructure maps, and credentials reviewed during our engagements will be treated as strictly confidential and will not be shared with any third party without your express consent, except as required by law.
6. Limitation of Liability
Our services are advisory in nature. While we provide plain-English recommendations based on standard IT best practices, you remain responsible for the implementation of security controls and IT governance. In no event shall we be liable for any indirect, consequential, or incidental damages, including data loss or business interruption. Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you for the specific service under dispute.
7. Governing Law
These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute.
